This Amendment-3 (“Amendment”) entered into and effective as of the last date signed (“Effective Date”)
by and between CredibleMind, Inc (“CM”) and Sauk County Health Department (“Client”) extends the
CredibleMind Platform License Agreement made on and entered into February 21, 2023 (“Agreement”)
as follows:
1. Extension. The parties mutually agree the term of the Agreement is extended for two (2) years
from February 21, 2026 through February 20, 2028 (the “Effective Period”) with the option for
mutually written renewals thereafter.
2. Pricing. The parties mutually agree the Annual License Fee (ALF) is $11,000 per year for a total
of $22,000 for the Effective Period.
3. Billing. The ALFs shall be split into 2 payments per year as follows. CredibleMind shall provide
an invoice for all payments that become due.
February 21, 2026 – August 20, 2026 $5,500
August 21, 2026 – February 20, 2027 $5,500
February 21, 2027 – August 20, 2027 $5,500
August 21, 2027 – February 20, 2028 $5,500
Total for the Effective Period $22,000
This Amendment is hereby incorporated into the Agreement. All other terms, conditions, and obligations
of the Agreement shall remain in full force and effect.
This Amendment may be executed in multiple counterparts, by facsimile, by electronic signature or
otherwise, each of which shall be deemed an original and all of which together shall be deemed one and
the same instrument.
The signatories each represent that they are fully authorized to enter into the terms and conditions of this
Amendment.
