Board of Trustees Meeting Minutes, January 12, 2017
Members present: Henry Netzinger, Bill Higgins, Dennis Polivka, Chuck Spencer, Terri Langer, Mary Ellen Murray, and Mike Flint
Absent:
Others present: Jennifer Vosen, Theresa Dietz, and Dennis Murray
1. The meeting was called to order at 5:15 p.m. by Chair Netzinger and certified compliance with the open meeting law.
2. Motion by Polivka, second by Langer, to adopt the agenda. Motion carried.
3. Motion by Higgins, second by Flint, to approve the minutes of the December 8, 2016 meeting. Motion carried.
4. Public Comment – None
5. Communication – None
6. Election of Officers of the Board of Trustees
Election of Chair – Chair Netzinger opened the floor to nominations for the chair of the Board of Trustees. Motion by Polivka, second by Flint, to nominate Netzinger for chair. Second call for nominations for chair. Motion by Higgins, second by Murray to cast a unanimous ballet for Netzinger for chair. Motion carried unanimously.
Election of Vice-Chair- Chair Netzinger opened the floor to nominations for vice-chair of the Board of Trustees. Motion by Murray, second by Flint, to nominate Higgins for vice-chair. Second call for nominations. Motion by Flint, second by Polivka, to close nominations and cast a unanimous ballet for Bill Higgins for vice-chair. Motion Carried.
7. Retirement Resolutions- Motion by Polivka, second by Murrray, to forward a resolution commending Patty Dix for over 42 years of faithful service to the people of Sauk County, to the full County Board for their consideration. Motion carried. Motion by Polivka, second by Murray, to forward a resolution commending Vivian Ida for over 32 years of faithful service to the people of Sauk County, to the full County Board for their consideration. Motion carried.
8. Home Health Care Operations Report – Jenny presented reports, discussion followed. Motion by Murray, second by Langer, to approve the December 2016 Home Care vouchers in the amount of, $445.35. Motion carried.
9. Business Office report and voucher review- Jenny presented the vouchers and highlighted items of interest. Operations statement and aging were, also discussed. Motion by Flint, second by Spencer, to approve December 2016 vouchers, in the amount of, $103,349.31. Motion carried.
10. Fourth Quarter Adjustments - Fourth Quarter adjustments were presented. Discussion followed.
Motion by Flint, second by Higgins to approve Fourth Quarter 2016 adjustments. Motion carried.
11. Fourth Quarter Donations – Jenny presented the Fourth Quarter donations. Discussion followed. Motion by Polivka, second by Langer to accept Fourth Quarter donations, in the amount of, $1,177.98. Motion carried.
12. Assisted Living Discussion – Jenny presented the time line. She gave a presentation on why we should proceed with the Assisted Living project. Discussion followed
13. Participation in the UW Study – Jenny presented the protocol. Discussion followed. Motion by Murray, second by Langer to participate in the study if we have an IRB approval. Motion carried.
14. Administrator’s report - Jenny reported that she had attended the regular administrative meetings. She presented outcomes and efficiency measures. She, also, mentioned that she has the safety assessment results, if any member would like to review it.
15. Public Comment - None
16. Next meeting date and agenda items for next month - The next meeting will be Thursday February 9, 2017 at 5:15pm.
17. Adjournment - Motion by Spencer, second by Flint, to adjourn. Motion carried.
