Board of Trustees Meeting Minutes, January 20, 2016

Members present:  Mary Ellen Murray, Henry Netzinger, Carol Held, Bill Higgins, Joe Fish, and Tut Gramling

Absent: Terri Langer

Others present: Jennifer Vosen, Dennis Murray, Theresa Dietz, and Michelle Posewitz

1.  Meeting was called to order at 5:15 p.m. by Chair Murray and certified compliance with the open meeting law.

2.  Motion by Higgins, second by Gramling, to adopt the changed agenda.  Motion carried.

3.  Motion by Netzinger, second by Fish, to approve the minutes of the December 16, 2015 meeting.   Motion carried.

4.  Public Comment – None

6.  Election of Officers of the Board of Trustees

Election of Chair – Chair Murray opened the floor to nominations for the chair of the BOT

Motion by Gramling,   second by Held,  to nominate Murray for chair.  Second call for nominations for chair of the BOT  Motion by Netzinger,  second by Higgins to nominated Fish for chair.  Paper ballots were distributed, outcome was a tie vote.  Murray conceded to Fish.

Election of Vice-Chair – Mary Ellen Murray opened to floor to nominations for vice-chair.                 Motion by Fish,  second by Higgins, to nominate Netzinger for vice-chair.                                                 Second call for nominations – none

Motion by Held,  second by Higgins to close nominations and cast a unanimous ballet for Henry Netzinger for vice-chair.  Motion carried unanimously.

7. Update on recruitment for new Administrator - Discussion followed.  Results of the Survey Monkey were discussed. First interviews will be held in February.  Mary Ellen Murray and Bill Higgins will be on the interview panel.

8.  Discussion and consideration of resolutions commending Linda Raspiller, Nancy Rich, and Margaret Neary for years of service to the people of Sauk County.  Motion by Netzinger,   second by Gramling, to approve the resolutions.  Motion carried.

9.  Home Health Care Operations Report – Jenny presented reports, discussion followed.  Mary Ellen Murray asked that the Home Care Director attend future meeting to educate the trustees on Home Care operations  Motion by Netzinger, second by Gramling, to approve the December 2015 Home Care vouchers in the amount of $7,979.48.  Motion carried.

Business Office report and voucher review- Jenny presented the vouchers and highlighted items of interest.  Operations statement and aging were also discussed. Motion by Netzinger,  second by Held, to approve December 2015 vouchers in the amount of $120,637.22.   Motion carried.

11. Administrator’s report - Jenny reported that she had attended the regular administrative meetings and the community health forum.  She also reported that the state conducted their January 5^th  through the 7^th  and that the survey went well.  The Health Care Center may end up with 3 or 4 sites all at level D.

12. Gazebo update from Joe Fish – Joe reported that donations were still coming in and that   construction will begin in the spring of 2016.

14.  Next meeting date and agenda items for next month - The next meeting will be Wednesday February  17, 2016 at 5:15 p.m.  Continued discussion of recruitment for new Administrator, fourth quarter adjustments, and fourth quarter donations will be on the agenda..

Motion by Held,  second by Higgins, to adjourn.  Motion carried.
