SSM Health St. Clare Foundation
Healthy Community Partnership Grant Agreement

This agreement is made and entered into by and between SSM Health St. Clare Foundation 
("Foundation") and the Grantee named above ("Grantee"). The Grantee agrees and consents to the 
following conditions of the grant:

1.  The Grantee agrees to undertake and complete the project detailed in the Grantee's proposal, as 
modified by the Foundation. In the event of a conflict between the Grantee's proposals and the 
Foundation's modifications, the Foundation's modifications shall control. The Grantee acknowledges 
receipt of the Foundation's modifications.
2.  The grant is to be used solely for the purpose noted above. The Grantee must notify the 
Foundation, in writing, of any changes to the program and may not redirect funds without prior 
consent from SSM Health St. Clare Foundation.
3.  The Grantee affirms that the project's current budget, as previously submitted and/or explained 
to the Foundation, accurately reflects the Grantee's present intentions to expend at least the 
amount of this grant on said project during the project period stated above.
4. The Grantee will, upon request by the Foundation, provide records of receipts and expenditures 
relating to the grant and make such records available to the Foundation at reasonable times.
5.  The grant is not earmarked for transmittal to any other entity or person, even if the Grantee's 
proposal or other correspondence expresses expenditure intentions. The Grantee accepts and will 
discharge full control of the grant and its disposition and responsibility for complying with this 
agreement's terms and conditions.
6.  The Grantee agrees to make a progress report to the Foundation no later than September 30 of 
the year following receipt of the grant. The progress report may be brief but should include a 
financial summary, indicating how the funds have been spent during the period and a short summary 
of the development of the program.
7.  The Grantee will include the following statement in all publicity and promotion regarding the 
work done with this grant: "This project is funded (in part, if applicable) by a Healthy Community 
Partnership Grant from the SSM Health St. Clare Foundation."
8.  ***New - The Grantee will attend one of the Foundation Board of Directors meetings to give a 
brief presentation on the grant and how the funding was utilized. The Foundation Director will make 
arrangements with the grantee regarding meeting times and information to be provided.
9.  Unless otherwise stipulated in writing, this grant is made with the understanding that the 
Foundation has no obligation to provide additional funding or support to the Grantee.
